Terms of engagement

Last updated 19 September 2026

These are the standard terms on which TechNED provides advisory and consultancy services. Where a signed engagement letter or letter of appointment says something different, that document takes precedence. We contract with businesses, not consumers.

1. Who you are contracting with

TechNED is a trading name of Applied AI Solutions Ltd, registered in England and Wales, company number 17192679, registered office Eastwood, 29 Breach Lane, Leicester LE9 7FB. "We" and "us" mean that company; "you" means the client named in the engagement letter.

2. Non-executive appointments

A formal appointment as a non-executive director is governed by a separate letter of appointment and by the duties the Companies Act 2006 places on directors. These terms cover advisory, consultancy, fractional CTO and due diligence work — they do not override, and are not a substitute for, a letter of appointment.

3. Scope of work

What we will do is set out in writing before work starts: the deliverables, the time commitment and the fee. Anything not written down is out of scope. Changes to scope, and any effect on the fee, are agreed in writing before the work is done.

4. Fees and VAT

Fees are as quoted. Applied AI Solutions Ltd is not registered for VAT, so no VAT is charged. If that changes, you will be told before it affects anything already agreed.

Expenses — travel beyond the East Midlands, or anything bought specifically for your engagement — are charged at cost and only where agreed in advance.

5. Invoicing and payment

Unless the engagement letter says otherwise, retained and non-executive work is invoiced monthly in arrears, and project work such as due diligence is invoiced on delivery. Invoices are payable within 14 days. Late payment carries interest and compensation under the Late Payment of Commercial Debts (Interest) Act 1998.

6. What we need from you

Advice is only as good as what it is based on. You agree to provide reasonable access to the people, systems and information the work requires, and to tell us promptly if something material changes. We may rely on the information you give us without independently verifying it. Where information we have requested is late, timetables move accordingly.

7. Confidentiality

Each of us will keep the other's confidential information confidential and use it only for the engagement, and that obligation survives the engagement ending. Where you would rather use your own non-disclosure agreement, we will sign it and it takes precedence over this clause. We will not name you as a client publicly without your written consent.

8. Conflicts and independence

We work with several companies in the electronics sector. Before accepting an engagement we check for conflicts, and we will tell you if one arises during it. We will not act where a conflict cannot be managed, and we will not use one client's confidential information for the benefit of another.

9. Intellectual property

On payment in full, deliverables produced specifically for you become yours. We keep ownership of what we brought with us — methods, templates, frameworks and general know-how — and remain free to carry out similar work for others.

10. What we do not promise

We provide advice and judgement; we do not guarantee commercial outcomes. Estimates of value, risk or timescale are informed opinions based on the information available, not commitments.

We are not lawyers, accountants or regulated financial advisers, and nothing we provide is regulated financial advice. Where a decision carries legal, tax or regulatory consequences, take proper professional advice on it. Technical due diligence is an opinion formed within an agreed scope and timeframe, not a warranty about the target.

11. Liability

Our total liability in connection with an engagement is limited to the fees paid under that engagement in the twelve months before the claim arose. We are not liable for loss of profit, loss of business, loss of anticipated savings, loss of data, or indirect or consequential loss.

Nothing limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot lawfully be limited. Liability arising from a non-executive directorship is dealt with in the letter of appointment and the company's directors' and officers' insurance.

12. Data protection

Each of us is an independent controller of the personal data we hold about the other's staff. Where we process personal data on your behalf, we do so on your documented instructions under a data processing agreement put in place beforehand. Our privacy notice explains how we handle personal data generally.

13. Ending the engagement

Either of us may end an engagement on 30 days' written notice, or immediately for a material breach that is not remedied within 14 days, or on insolvency. On termination you pay for work done and properly committed, and we hand over what has been produced. Non-executive appointments end in accordance with the letter of appointment and the company's articles.

14. General

The engagement letter and these terms are the whole agreement between us on their subject. If any clause is unenforceable, the rest stands. No third party may enforce these terms.

15. Governing law

These terms and any dispute arising from them are governed by the law of England and Wales, with the exclusive jurisdiction of its courts. Before proceedings, both of us agree to attempt to resolve the matter in a conversation.
